Terms and Conditions of Use

1. OVERVIEW OF CADREMIT
CadRemit offers money transfer services to its users at this time. CadRemit exclusively deals with Canadian dollar, United States dollar and Nigerian Naira for facilitating money transfers and does not support any other currency currently. Additionally, all intended recipients of transfers facilitated by CadRemit must be banking with a Nigerian or North American financial institution. Finally, CadRemit does not accept any physical cash, cheques, or money orders.
2. DEFINITIONS
I. "CadRemit," "we," "us," or "our" refers to CadRemit, and may also include any affiliated companies or subsidiaries.
II. "User," "users," or "you" refer to any individual or legal entity that accesses or avails themselves of the Services provided by CadRemit.
III. "Your account", “Account” means the user account you must register for, in order to use CadRemit Services.
IV. "Services" means the website www.CadRemit.com, any of our associated websites or mobile applications (collectively the "CadRemit Site"), and the features, functionality, and capabilities available through the CadRemit Site.
V. "Balance" refers to a non-interest-bearing amount held by CadRemit on behalf of users, used for the purpose of facilitating transfers to designated recipients.
VI. "Transfer" signifies the transfer of funds from a user's balance to a specifically identified recipient, facilitated by CadRemit's Services.
VII. "Recipient" refers to the individual or entity that receives funds through the use of CadRemit's Services.
VIII. "Payment Account" designates the authorized funding source employed by users to add funds to their balance, thereby enabling the execution of transfers.
IX. "Privacy Statement" means the privacy statement which can be viewed at Privacy Statement.
X. "Terms" means these Terms and Conditions of Use.

3. ACCEPTING THESE TERMS
These Terms constitute a legally binding agreement between you and CadRemit regarding the use of the CadRemit services. By accessing or using the services provided by CadRemit, you agree to be bound by this Agreement. Please read these Terms before using the Services. If you do not agree to these Terms, you may not use the Services. When you use the Services, you represent and warrant that you have the legal capacity to form a binding contract with us and are doing so by your agreement to these Terms.

4. USE OF SERVICES
To use the Services, you must meet the following requirements:
I. Age and Legal Capacity: You must be at least 18 years old and have the legal capacity to enter binding contracts.
II. User Information: You must provide all requested information accurately and completely. This includes your full name, address, email address, telephone number, date of birth, means of identification, and any other information or documentation that may be required from time to time to verify your identity.
III. Not on Sanctions List: You affirm that you are not identified as a person whose name appears on any sanctions list either in Canada, Nigeria or any other country.
IV. Not a Politically Exposed Person: You do not fall under the classification of a Politically Exposed Person (PEP) as per the delineation specified in Canada's anti-money laundering and anti-terrorist financing legislation.
V. Not a Resident of Quebec: You confirm that you are not a resident of the province of Quebec. CadRemit does not offer its Services to residents of Quebec due to specific regulatory requirements and restrictions applicable in that jurisdiction. By using the Services, you affirm that your primary residence is outside of Quebec and that you do not intend to access or use the Services from within Quebec. It is your responsibility to ensure compliance with all applicable laws and regulations based on your location. By using the Services, you firmly attest and guarantee that you meet the aforementioned eligibility requirements.

5. PRIVACY
We respect your right to privacy. All information that we may collect via the Services is subject to our Privacy Statement. The Privacy Statement is incorporated by reference into these Terms.

6. YOUR ACCOUNT
6.1 Account Registration and Responsibilities
Certain services offered through the Services may only be accessible to you upon the completion of your account registration. By registering, you affirm and guarantee to CadRemit that:
I. All information provided by you during the registration process is truthful, accurate, and complete.
II. You will adhere to all terms and conditions outlined in these Terms.
You acknowledge and consent that we reserve the right to conduct any necessary inquiries, whether directly or through third parties, to verify your identity.
As a registered user, you agree to maintain and promptly update your registration data as necessary to keep it true, accurate, current, and complete. You shall bear full responsibility for any loss, damage, or additional expenses incurred by CadRemit as a result of your submission of false, incorrect, or incomplete information, or your failure to update your registration or other submitted information via the Services.
CadRemit may need to verify your identity to ensure the security and proper functioning of the Service. By using the Service, you authorize CadRemit to obtain information about you from third parties, including financial institutions and credit reporting agencies. Please note that CadRemit is not obligated to obtain such information but reserves the right to do so. We may prohibit your use of the Service or halt your requested transfer if you fail to provide accurate and complete information during registration or when requesting a transfer.

6.2 Passwords: You acknowledge that maintaining the confidentiality of your account credentials (including usernames, passwords, pins, or security tokens created or provided) is solely your responsibility, and you will be held accountable for any losses arising from the unauthorized use of your account. It is your obligation to promptly notify us of any unauthorized account activity. Likewise, you are responsible for verifying and ensuring the security, protection, and proper distribution of your account information, including usernames, and passwords.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use “strong” passwords for your account by using a combination of uppercase and lowercase letters, numbers, and symbols. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
You acknowledge that all liabilities associated with password and pin management rest with you, and under no circumstances, including negligence or misconduct, will CadRemit be held liable for any damage or loss resulting from the use of your account.
You may register only one Account. Creating multiple registrations without obtaining prior written permission from us is strictly prohibited.

6.3 Security of Account Information: In the event that your account details, password, or other security features are lost, stolen, used without authorization, or otherwise compromised, you are required to immediately change your password and contact Customer Support. The compromise of your account credentials could enable third parties to gain access to your account and initiate unauthorized transactions. To mitigate any potential losses, contacting CadRemit promptly by email is the preferred course of action. You are further required to promptly notify us of any unrecognized activity in your transaction history. It is your responsibility to routinely monitor your account's transaction history and report any discrepancies or concerns without delay.
CadRemit reserves the right, at its sole discretion, to suspend your account or impose restrictions on its functionality if security concerns, potential unauthorized access, or suspected fraudulent activity arise.
You must ensure that your email accounts are secure and accessible exclusively by you, as they may be used for password resets or other security-related communications concerning your CadRemit account. Notify Customer Support immediately if your email account becomes compromised. You must refrain from using any functionality that allows login details or passwords to be stored, cached, or otherwise recorded by your computer, browser, or other devices. Additional security requirements may apply to other CadRemit products or services you may use, and you are responsible for adhering to these requirements as communicated.

7. TRANSFERS AND BALANCE FUNDING
You can add funds to your Balance using an authorized payment account. By initiating a transfer, you authorize CadRemit to access and process your payment information. The Services enable you to send transfers to designated recipients. CadRemit will undertake the processing and transmission of the transfer based on your provided instructions. We may establish limitations on the value or frequency of transfers. It is your responsibility to ensure the accuracy of the recipient's information. Once you have confirmed a transfer, it is considered final and cannot be reversed by you. CadRemit equips you with tools to review and verify your transfer before confirming it, thereby assisting in identifying any potential mistyped transfers. However, any losses arising from mistyped or incorrect recipient information shall be your sole responsibility. CadRemit shall not be held liable for any losses resulting from inaccurately entered or mistyped recipient information for transfers. We reserve the right to, at our absolute discretion, attempt to reverse your instruction if you have communicated your desire for us to do so. Should a reversal be possible, a fee of 3 CAD will apply for CAD transactions and 10 USD for USD transactions. These fees are subject to change at any time. By accepting these Terms, you acknowledge and understand the funding requirements and agree to comply with these terms and use the services responsibly for transfer purposes.

7.1 Nature of Your CadRemit account: CadRemit is not a bank, and your CadRemit account is not a bank account. The bank account details provided to you for receiving funds from third parties are associated with accounts held by CadRemit and its affiliates. Upon receipt of funds into these accounts, CadRemit will credit the corresponding amount to your CadRemit account balance. However, the bank account holding these funds is not owned by you. The balance in your CadRemit account represents an unsecured claim against CadRemit and is not insured by the Canada Deposit Insurance Corporation (CDIC) or any similar deposit protection scheme.
CadRemit manages customer balances in compliance with applicable money transmitter laws. The funds in customer balances are not used for operational expenses or other corporate purposes and will not be made available to creditors in the event of CadRemit’s bankruptcy.
The value held in your CadRemit account remains an unsecured claim against CadRemit and is not protected by any deposit insurance scheme, including the CDIC.

7.2 USD Virtual Account and Transfer Services: The USD virtual account and transfer services offered by CadRemit are powered by Bridge, a third-party provider. By accessing and using these services, you agree to comply with the terms, conditions, and privacy policy set forth by Bridge, which are available here, as well as CadRemit’s own Terms. Engaging in USD services signifies acceptance of both Bridge and CadRemit’s applicable policies.

8. CHANGES TO THE SERVICE AND PRICE STRUCTURE
The prices of our Services may be adjusted without prior notice. We reserve the right to modify, discontinue, or cease offering the Service (or any segment or content thereof) at any time, without prior notice. This includes, but is not limited to, the imposition or modification of transfer, deposit, or conversion limits, as well as changes to the applicable exchange rates used for currency conversions. Exchange rates may fluctuate based on market conditions, and we may adjust the rates applied to your transactions at our discretion without prior notice. We shall not be liable to you or any third party for any changes in pricing, the imposition of limits, modifications to exchange rates, or any suspension or termination of the Service.

9. COMPLIANCE AND REGULATIONS
You agree to use the Services in compliance with all applicable laws and regulations, including those related to anti-money laundering (AML), fraud prevention, and the funding of illegal activities. CadRemit may perform identity verification checks and monitor transactions for suspicious activity.
You are strictly prohibited from using the Services provided by CadRemit for any illegal activities, including but not limited to money laundering, fraud, and funding of terrorist organizations. In the event that we have reasonable grounds to believe that you are engaging in illegal or fraudulent activities through the CadRemit platform or allowing a third party to do so, we are obligated to report such activities to the appropriate legal authorities.
If it becomes necessary for CadRemit to block transfers associated with your account due to government sanctions programs or to comply with lawful requests and or compliance with anti-money laundering programs, we reserve the right to deactivate your account or suspend a pending transfer.
CadRemit shall not be held accountable for any losses, whether direct or indirect, that you may experience as a result of our compliance with applicable laws, guidance, or directions from regulatory authorities or government agencies, or any legal orders such as writs of attachment, liens, levies, subpoenas, warrants, or other legal orders.

10. LIMITATIONS AND DISCLAIMERS
CadRemit strives to provide uninterrupted access to the Services. However, there may be times when the Services are temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We do not guarantee continuous or error-free access to the Services. CadRemit is not responsible for any delays, delivery failures, losses, or other damage resulting from such problems.
Under no circumstances shall CadRemit, along with our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors, be held liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages. These damages include, but are not limited to, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise. This liability extends to any issues arising from your use of the service or any products obtained through the service, as well as any claims related to your use of the service or any product. This includes errors or omissions in any content and any loss or damage incurred as a result of using the service or any content (or product) posted, transmitted, or made available via the service.


A. The Services are Available "AS-IS"

Your access to and use of the Services or any Content are at your own risk. You understand and agree that the Services are provided to you on an “AS-IS” and "AS-AVAILABLE" basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON INFRINGEMENT. We make no warranty, or representation and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content ; (ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; and (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error free basis. No advice or information, whether oral or written, obtained from us or through the Services, will create any warranty or representation not expressly made herein.

The Services may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by CadRemit of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources


C. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; ANY CONDUCT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY OFFENSIVE, FRAUDULENT OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CADREMIT EXCEED THE GREATER OF ONE CANADIAN DOLLAR (CAD. $1.00). THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE WE HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. OWNERSHIP AND USE OF CONTENT
The CadRemit logo displayed on the Services is the property of CadRemit. The Services may display logos and trademarks of third-party companies or organizations. These logos are the property of their respective owners. We do not claim any ownership, endorsement, or association with these logos, and they are used on our website solely for representational purposes.
Your content, which includes any material you post, upload, or share on the Services, remains your property. However, when you post, upload, or share your content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and sub-licensable license to use, copy, reproduce, create derivative works, and display your content in relation to the Services.
Regarding communications through the Services, they are considered non-confidential, unless otherwise required by applicable law or the provisions in Section 3 related to Personal Information. We have the freedom to use and disclose the content of such communications, including any ideas, inventions, concepts, or know-how shared, for various purposes, including the development, manufacturing, and marketing of goods and services. By sending communications, you agree not to claim any ownership rights, such as copyright, trademark, patent, unfair competition, moral rights, or implied contract, over the content of those communications.
If you submit any materials or ideas to us or the Services, you automatically grant us an unrestricted, perpetual, royalty-free, irrevocable, non-exclusive, worldwide, and non-restrictive right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works, distribute, perform, display, and exploit the submissions or any associated ideas, concepts, or techniques for any purpose, whether commercial or not. This includes the right to use any form of media or technology, known or developed in the future, without providing compensation to you or anyone else, without any liability, and without any obligation of confidentiality or other duties on our part or the part of our successors or assigns.
By submitting your content, material or ideas, you waive all moral rights as an author, including the right to be associated with your content or submissions, as well as the right to receive financial or other consideration related to your content and Submissions.

12. INDEMNIFICATION
You agree to indemnify, defend and hold harmless CadRemit as well as our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including legal fees due to or arising out of your violation of these Terms of Service or your violation of any law.

13. RIGHT TO TERMINATE
CadRemit has the right to modify, restrict, terminate, or alter the Services or any part of it without prior notice or liability. We may correct errors or omissions in the Services at its discretion but are not obligated to do so. If you violate any provision of these Terms, your access to the Services may be terminated, and your account may be closed. The determination of a violation is at the sole discretion of CadRemit. Transactions may also be canceled in cases of suspected unauthorized access or hacking.

13.1 You May Close Your CadRemit Account
You may terminate this Customer Agreement and close your CadRemit account at any time by emailing us through our Help Centre or by using the “Delete Account” button option within the app. Before the closure of your account, if you have any remaining balance, you will be prompted to withdraw your funds. If you do not withdraw your funds before closure, those funds will be forfeited, and CadRemit will not be liable to you for the forfeited amounts. You agree to remain responsible for all obligations related to your account even after it is closed.

13.2 CadRemit Can Close Your Account
CadRemit, at its sole discretion, reserves the right to suspend or terminate this Customer Agreement and your access to or use of our websites, software, systems (including any networks and servers used to provide any of the Services), or some or all of the Services for any reason and at any time upon notice to you. Upon termination of this Customer Agreement, any unrestricted funds held in your CadRemit balance will be made available for withdrawal. Reasons for closing your CadRemit account may include, but are not limited to:
  • Your breach of any provision of this Customer Agreement or any documents referred to in this Customer Agreement;
  • A request or directive from a competent court of law, government authority or agency, or law enforcement agency;
  • A reasonable belief that you are in violation of any applicable law or regulation; or
  • A reasonable belief that you are involved in any fraudulent activity, money laundering, terrorism financing, or other criminal or illegal activities.;
We may also suspend your account if it has been compromised, for security reasons, or if it has been used or is being used without your authorization or fraudulently. If we close your CadRemit account or terminate your use of the Services for any reason, we will notify you of our actions and make any unrestricted funds held in your account available for withdrawal. We will initiate a refund to an account provided in your name within 14 business days of receiving your request.

14. GOVERNING LAW
These Terms and any action related thereto will be governed by the Laws of Canada and the Federal Republic of Nigerian without regard to or application of their conflict of law provisions. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in the province of Ontario, and you consent to the jurisdiction of and venue in such courts and waive any objection as to an inconvenient forum. These Terms constitute the complete agreement between you and us, superseding any and all prior electronic, oral, or written communications, agreements, and proposals relating to the Services
