CADREMIT REWARDS PROGRAM TERMS AND CONDITIONS

1. OVERVIEW
1.1 This Rewards Programme Terms and Conditions (the "Rewards Agreement") sets out the terms under which StudentPay Inc. provides the CadRemit Rewards Programme (the "Programme") to eligible Users.
1.2 The Programme allows eligible Users to earn CadRemit reward points through qualifying cross-border money transfers and other promotional activities.
1.3 By participating in the Programme, you agree to be bound by this Programme, our Terms of Use, and our Privacy Policy. Participation in the Programme does not create any employment, agency, partnership, or fiduciary relationship between you and CadRemit.
2. DEFINITIONS
a) "CadRemit," "we," "us," or "our" refers to CadRemit, and may also include any affiliated companies or subsidiaries.
b) "User," "users," or "you" refer to any individual or legal entity that accesses or avails themselves of the Services provided by CadRemit.
c) "Your account" or "Account" means the user account you must register for, in order to use CadRemit Services.
d) "Services" means the website www.CadRemit.com, any of our associated websites or mobile applications (collectively the "CadRemit Site"), the Referral Rewards Program, and all features, functionality, and capabilities available through the CadRemit Site.
e) "CadRemit Rewards Programme" or "Programme" refers to CadRemit's incentive program, under which Referrers and Referees may earn CMT Points by referring eligible new users who complete qualifying transaction volume.
f) "Referrer" means an existing CadRemit user in good standing who invites a new user to join the platform using a unique referral code generated within the CadRemit Site.
g) "Referee" means a newly registered CadRemit user who enters a valid Referrer's referral code during account sign-up or registration.
h) "CMT Points" refers to reward points awarded to eligible Referrers and Referees under the Referral Rewards Program, which may be redeemed or converted into supported payout currencies in accordance with CadRemit's policies.
i) "Privacy Policy" means the privacy statement which can be viewed at
Privacy Statement.
j) "Terms" means these Terms and Conditions of Use, as amended or updated from time to time.
3. PARTICIPATION AND ELIGIBILITY
3.1 Eligibility Criteria
Participation in the Programme is open to Users who satisfy all the following requirements:
a) Account Verification: Must be a fully onboarded and verified user on the CadRemit platform.
b) Qualifying Transfers: Must complete qualifying cross-border transfers to Nigeria.
c) Legal Compliance: Must comply with all applicable laws, regulations, and platform policies.
3.2 Excluded Transactions
Transfers sent to bank accounts or recipients owned, controlled, or operated by the same User do not qualify for rewards.
3.3 Discretion and Disqualification
CadRemit reserves the right, at its sole discretion, to determine a User's eligibility, award or withhold CMT Points, or disqualify any User from the Programme at any time without prior notice.
4. EARNING REWARDS
4.1 Eligibility Requirements for Rewards
To earn referral rewards, all of the following qualifying conditions must be strictly satisfied within the specified timeframes:
a) Timeframe: The Referee must successfully complete all qualifying transfers within thirty (30) calendar days of registering their CadRemit account.
b) Transaction Threshold: Both the Referrer and the Referee must complete transactions totaling at least one of the following minimum single-currency thresholds: USD $100, CAD $100, EUR €100, or NGN 150,000.
c) Transaction Limit: The required transaction threshold must be achieved within the Referee's first three (3) completed money transfer transactions. Any volume transferred in the fourth or subsequent transaction will not count toward the qualifying threshold.
d) Single Currency Requirement: All qualifying transactions executed by the Referrer and the Referee must be conducted in the same currency used to meet the threshold (e.g., transfers cannot be combined across USD and CAD to meet the $100 equivalent threshold).
e) Good Standing: Both the Referrer and Referee must remain in good standing, with verified identities, and comply with all CadRemit policies, compliance standards, and these Terms throughout the qualification period and payout date.
4.2 Reward Structure and Crediting Timeline
Upon full verification and successful fulfillment of all eligibility requirements:
a) Referrer Reward: The Referrer will be awarded 5,000 CMT Points. The Referrer's reward will be credited to their CadRemit account within Thirty (30) days after the Referee meets all qualifying requirements.
b) Referee Reward: The Referee will be awarded 5,000 CMT Points. The Referee's reward will be credited to their CadRemit account within Seven (7) days after successfully meeting all qualifying requirements.
c) CadRemit reserves the right to audit transactions at any time and request supporting documentation to verify recipient uniqueness and transaction legitimacy.
d) Participation is limited to one account per individual. Users must access the Programme using a single device and IP address unless prior written approval is granted.
e) CadRemit reserves the right to alter, suspend, or terminate reward structures, promotional offers, or the Programme entirely at any time without prior notice.
f) CadRemit may establish monthly or annual caps on the total CMT Points a User can earn. Any applicable limits will be communicated via the app or email.
g) The redemption of CMT Points is subject to minimum thresholds, usage restrictions, and additional terms established by CadRemit.
5. REWARD VALUATION AND REDEMPTION
5.1 CMT Points are promotional in nature and have no monetary value outside the CadRemit platform. They do not constitute currency, property, or a vested right.
5.2 CMT Points may be redeemed only through approved channels communicated by CadRemit. These may include cross-border transfers, platform credits, vouchers, or discounts.
5.3 Redemption options are subject to availability, geographic restrictions, regulatory approval, and may be modified at any time.
5.4 All redemptions are final. CadRemit is not responsible for lost, expired, or misapplied rewards.
5.5 CadRemit reserves the right to delay or deny redemption requests pending identity or transaction verification, especially in cases of suspected misuse or fraud.
6. CANCELLATIONS, FRAUD AND MISUSE
6.1 Zero Tolerance Standard
CadRemit maintains a strict zero-tolerance policy regarding fraud, exploitation, system abuse, or any action designed to undermine the integrity, fairness, or intended operation of the Programme. Engagement in prohibited conduct will result in immediate disqualification, forfeiture of accumulated CMT Points, and potential account termination.
6.2 Prohibited Activities
Prohibited conduct includes, but is not limited to, the following activities:
a) Creating, controlling, or operating multiple accounts across individuals, households, or devices.
b) Initiating transfers to accounts or recipients owned, controlled, or operated by yourself, family members, or fictitious entities to artificially inflate rewards.
c) Providing false, misleading, or deceptive personal, financial, or transactional information to meet eligibility requirements.
d) Coordinating or pooling funds with third parties to simulate genuine transaction activity, execute circular transfers, or manipulate volume metrics.
e) Using scripts, bots, spiders, scrapers, automated workflows, software vulnerabilities, or unauthorized third-party tools to interact with the platform or earn points.
f) Attempting to circumvent identity verification (KYC), geographic boundaries, device limits, IP restrictions, or security controls via VPNs, proxies, or spoofing techniques.
g) Requesting chargebacks, initiating payment disputes, or processing transfer reversals for transactions that generated reward points.
h) Exploiting referral schemes, promotional codes, or welcome bonuses through unauthorized distribution channels, self-referrals, or fake accounts.
i) Selling, trading, transferring, or commercializing CMT Points, accounts, or reward privileges to any third party.
6.3 Suspension and Termination Rights
CadRemit may, at its sole discretion and without prior notice, suspend or permanently terminate a User's access to the Programme and forfeit any or all accumulated CMT Points if the User is suspected of:
a) Engaging in any prohibited conduct as outlined in this Programme.
b) Violating any applicable law or regulation in connection with the Programme.
c) Providing false or misleading information during onboarding or audits.
d) Participating in any activity that poses reputational, operational, or regulatory risk to CadRemit.
Such termination shall be final and non-reviewable, and CadRemit shall have no obligation to reinstate lost points or access privileges.
6.4 Recovery of Fraudulent Rewards
In addition to termination of Programme access, CadRemit reserves the right to:
a) Deduct misused or fraudulently obtained CMT Points from future rewards.
b) Suspend pending redemptions or promotional benefits.
c) Reverse transactions retrospectively, including those already redeemed.
d) Initiate civil or criminal proceedings where appropriate under applicable law.
e) Report offending Users to relevant law enforcement or regulatory authorities.
6.5 Monitoring and Audit
CadRemit reserves the right to monitor all User activity for compliance purposes and to conduct routine or ad hoc audits of any account. You agree to cooperate fully with any investigation and to provide truthful and complete responses to any verification request.
6.6 Indemnification
You agree to fully indemnify, defend, and hold harmless CadRemit, its parent company, affiliates, officers, directors, employees, contractors, and licensors from and against any and all losses, damages, claims, demands, liabilities, penalties, expenses (including legal fees), or proceedings arising directly or indirectly from:
a) Your violation of this Agreement.
b) Fraudulent or abusive conduct in relation to the Programme.
c) Misuse of the platform or breach of applicable law.
6.7 No Waiver
Failure by CadRemit to enforce any part of this Section shall not constitute a waiver of its rights to enforce it later or take any other legal or corrective action.
7. EXPIRATION AND TERMINATION
7.1 CMT Points expire 180 days from the date of issuance, unless otherwise specified or revoked earlier due to fraud, regulatory restrictions, or programme suspension.
7.2 CadRemit may suspend, or terminate the Programme at any time, with or without prior notice. Accumulated points not redeemed by the termination date may be forfeited.
8. GENERAL TERMS
8.1 Right to Modify
CadRemit reserves the right to amend, update, or revise this Rewards Agreement at any time, for any reason, including to reflect changes in applicable law, business operations, or the functionality of the Programme. Any such amendments shall become effective immediately upon posting within the CadRemit app or on our official website. Continued participation in the Programme after such changes shall constitute your acceptance of the revised terms. Users are encouraged to review this Agreement regularly.
8.2 Governing Law and Jurisdiction
This Rewards Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any and all disputes, claims, or causes of action arising out of or relating to the Programme or this Agreement shall be brought exclusively before the courts located in Ontario, Canada, and you irrevocably consent to the personal jurisdiction and venue of such courts.
8.3 Severability
If any provision of this Rewards Agreement is found to be unlawful, void, or for any reason unenforceable, such provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
8.4 No Waiver
The failure of CadRemit to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of CadRemit.
8.5 Assignment
You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of CadRemit. Any attempted assignment in violation of this clause shall be null and void. CadRemit may freely assign or transfer its rights and obligations under this Agreement without restriction.
8.6 Entire Agreement
This Rewards Agreement, together with the CadRemit Terms of Use, Privacy Policy, and any other referenced documentation, constitutes the entire agreement between you and CadRemit regarding your participation in the Programme and supersedes any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
8.7 Language
This Agreement is drafted in English, and any translations provided are for convenience only. In the event of any inconsistency or ambiguity between the English version and any translated version, the English version shall prevail.
